ADSS is a successful retail and institutional brokerage based in Abu Dhabi with operations in the United Kingdom. The Legal Counsel will be responsible for providing legal advice in the best interest of ADSS ensuring adequate management of legal risks in contracts, negotiations and legal proceedings. The role will be responsible for ensuring compliance with applicable laws and internal corporate governance and government regulations.

KEY RESPONSIBILITIES

• Draft, review and negotiate all legal documentation, in particular IT and TMT contracts, and market counterparty documentation including clearing agreements, PB agreements, ADSS business terms and templates and confidentiality agreements
• Provide legal advice and support to Compliance and Risk and other control functions within the business and on regulatory issues as they arise (AML, suspicious transaction reporting, investigations etc.)
• Coordinate with Head of Compliance on both external and internal local law and regulatory issues associated with ADSS’s business operations including cross-border issues (including marketing initiatives and Data Privacy)
• Advise on legal and regulatory developments and assist with the development of policies and documentation for the existing business, new business initiatives, advancement of business model objectives and new products
• Monitor, assess and manage legal risks relating to all types of commercial, IT and outsourcing contracts by providing commercial and pragmatic solutions
• Participate in the development of processes, policies, procedures, templates and databases designed to reduce legal risk and increase ADSS’s efficiency
• Other work duties as required.

ABOUT YOU

• Degree qualified (Law Degree)
• 7 to 10 years of experience in a common law jurisdiction (UK, US law qualification preferable)
• Experience at a top tier law, investment or financial firm in IT and TMT contracts and [preferably] in financial services (including securities/derivatives/ commodities)
• Experience in transactional workflow and ability to deal with the wide range of products offered by the firm
• Deep understanding of local customs and relations
